Darrois Villey Maillot Brochier advised Abertis on the increase of its stake in Sanef
Darrois Villey Maillot Brochier advised Abertis on the increase of its stake in Holding d’Infrastructures de Transports (HIT), a holding company controlling 100% of Sanef. Sanef is a French company that operates 2,063 km of motorways in Normandy and in North and Eastern France.
Abertis exercised its preferential right on the stake sold by Caisse des Dépôts et Consignations.
The transaction, which values HIT at approximately 4.6 billion euros, allows Abertis to acquire an additional stake representing 10.52% of the share capital, increasing its overall shareholding in HIT to 63.07%, after taking into account the rights of minority shareholders having exercised their preferential right.
Abertis, a Spanish company listed on the Madrid Stock Exchange, is the international market leader in the management of toll roads, managing 8,500 kilometers of high capacity roads in Europe and in the Americas.
The DVMB team is composed of Jean-Michel Darrois (partner), Jean-Baptiste de Martigny (partner) and Hadrien Bourrellis (associate) in M&A, with Vincent Agulhon (partner) advising on tax matters and Henri Savoie (partner) and Patrick Mèle (counsel) advising on public law matters.
Caisse des Dépôts et Consignations is advised by Clifford Chance LLP.
Predica and Axa République, which are other minority shareholders of HIT, are advised respectively by BDGS Associés and Orrick Rambaud Martel.
