Darrois Villey Maillot Brochier advised Henri Beaufour on the reclassification of Ipsen shares held by Mayroy
Darrois Villey Maillot Brochier advised Henri Beaufour on the demerger of family holding Mayroy and the internal reclassification of its Ipsen shares, resulting in a request for a waiver to the obligation to file a mandatory tender offer.
Henri Beaufour’s holding company will hold 26.03% of Ipsen’s share capital and 33.27% of its voting rights. The Schwabe family will hold 4.34% of the capital and 5.54% of the voting rights.
The Darrois Villey Maillot Brochier team included Marcus Billam (partner), Orphée Grosjean and Sarah Rodriguez (associates) on M&A aspects, as well as Martin Lebeuf (partner) and Martin Grange (associate) on financing aspects and Vincent Agulhon (partner) on tax law aspects.
