Darrois Villey Maillot Brochier advises AccorHotels on the acquisition of Fairmont Raffles Hotel International

Darrois Villey Maillot Brochier advised AccorHotels on the acquisition of 100% of the shares of Fairmont Raffles International. Such shares are currently held byQatar Investment Authority, Kingdom Holding and Omers.

The agreement with Qatar Investment Authority, Kingdom Holding and Omers provides for a cash payment of $840 million (€768 million at the current exchange rate) and the issuance of 46.7 million Accor shares. Once the transaction is completed after approval of Accor’s shareholders general meeting, Qatar Investment Authority and Kingdom Holding will become shareholders of Accor, holding respectively approximately 10.5% and 5.8% in Accor’s share capital. The appointment of two representatives of Qatar Investment Authority and one representative of Kingdom Holding to the Accor Board of Directors will be proposed to the shareholders general meeting.

This transaction is subject to antitrust authorities approvals.
