Darrois Villey Maillot Brochier advises Technip on its combination with FMC Technologies

Darrois Villey Maillot Brochier advises Technip on its combination with FMC Technologies, creating TechnipFMC, a global leader in the energy sector with combined revenues of US$20 billion (pro forma data 2015) that will be listed on the Euronext Paris and the NYSE.

Technip and FMC Technologies have entered into a Memorandum of Understanding and expect to execute, following consultation of the relevant employee representative bodies, a definitive combination agreement (Business Combination Agreement). The combination will be completed through a European cross-border merger, pursuant to which a new English company will absorb Technip, and a reverse triangular merger through which FMC Technologies will become a subsidiary of this new company.

This transaction will be subject to the approval of the shareholders of each of Technip and FMC Technologies, clearance from the relevant competition authorities as well other customary conditions for a transaction of this nature.
