Darrois Villey Maillot Brochier assists QIAGEN Marseille in its asset transfer to HalioDxInvest and QIAGEN NV on the public tender offer initiated on the shares of QIAGEN Marseille

Darrois Villey Maillot Brochier advised QIAGEN NV (listed on the NASDAQ and Frankfurt stock exchanges) and its subsidiary, QIAGEN Marseille (listed on Alternext), in which it holds a 90 % stake, in the context of the takeover by HalioDxInvest, a company founded by the management team of QIAGEN Marseille, of all the assets and liabilities linked to the operational activities of QIAGEN Marseille, with the exception of its intellectual property portfolio, research tax credit and cash assets. The transaction was completed on 16 March 2015.

As part of the transaction, QIAGEN NV filed on 11 March 2015 a simplified public tender offer on the outstanding QIAGEN Marseille shares held by minority shareholders, and valuing QIAGEN Marseille at 81m€.

Both QIAGEN Marseille and QIAGEN NV were advised by Darrois Villey Maillot Brochier. The team comprised Olivier Huyghues Despointes (partner) assisted by Katerina Seow (associate) and Anne-Sophie Turinetti (associate) for corporate and public offer aspects of the deal and Vincent Agulhon (partner) assisted by Mathieu Deniau  (associate) for tax aspects. In terms of employment law, the QIAGEN group was advised by Capstan, the team comprising Guillaume Bordier (partner) assisted by Ariane Véron de Quatrebarbes (associate).

The HalioDx entities were advised by Shearman & Sterling. The team was led by Hervé Letréguilly (partner, Capital Markets/M&A, Paris), assisted by Anne-Sophie Maes (counsel, Tax) and by Leïla Dhouib (associate, M&A, Paris).

Flichy Grangé Avocats advised the HalioDx entities on the employment law aspects of the transaction (Florence Aubonnet, partner and Camille Ventejou, associate).
