Darrois Villey Maillot Brochier advises Capgemini and defeats lawsuits relating to its tender offer on Altran

Paris, 6 April 2020

In a ruling dated 13 March 2020, the Paris Court of Appeal dismissed the appeal filed by a minority shareholders association (ADAM) against the clearance decision dated 14 October 2019, by which the French financial market authority (Autorité des marchés financiers – AMF) had declared Capgemini’s friendly tender offer for the shares of Altran Technologies compliant with applicable regulations.

Capgemini had previously obtained the rejection of ADAM’s parallel request to delay the closing date of the tender offer, which was therefore successfully closed on 22 January 2020. After a final reopening of the tender offer following the above-mentioned ruling, Capgemini holds more than 98% of Altran’s capital and voting rights, which enables Capgemini to squeeze-out the remaining minority shareholders.
