Darrois Villey Maillot Brochier advised Groupe BPCE in the context of its successful public tender offer on Natixis’ shares followed by a mandatory squeeze-out

Darrois Villey Maillot Brochier advised BPCE S.A., Natixis S.A.’s majority shareholder, in the context of its successful public tender offer (“offre publique d’achat simplifiée”) on Natixis’ shares it did not already own (i.e. c. 29.3% of Natixis S.A.’s capital), which has been followed by a mandatory squeeze-out.

The Darrois Villey Maillot Brochier team was led by Emmanuel Brochier, Bertrand Cardi and Laurent Gautier (partners) and included Frédéric Chevalier, Pierre Zejma and Wenceslas Le Chevalier on corporate and M&A aspects, together with Henri Savoie (partner), Jean-Baptiste Aubert (counsel) and Guillaume Griffart advising on regulatory aspects, Ben Burman (partner) on US securities law aspects, Martin Lebeuf (partner) advising on financing aspects and Vincent Agulhon (partner) and Sophie Pagès advising on tax law aspects.
