Darrois Villey Maillot Brochier advises Suez on the signing of a combination agreement with Veolia, confirming the terms of the agreement in principle reached on April 11, and of a Memorandum of Understanding with Meridiam – GIP – Caisse des Dépôts/CNP Assurances relating to the creation of the new SUEZ.

The combination agreement with Veolia allows Veolia to acquire the strategic assets necessary for its project to build the world champion of ecological transformation, while guaranteeing a coherent and sustainable industrial and social perimeter for the new SUEZ. It also reiterates the social commitments made by Veolia and confirms that the acquisition price per share of the SUEZ Group will be raised to €20.50 (coupon attached).

The new SUEZ would have revenues of nearly €7 billion, including SUEZ’s French water and waste management businesses as well as international assets, growth prospects and innovation capabilities in France and abroad.

Subject to regulatory and competition approvals, SUEZ and Veolia have set a common goal of closing the public offering at the same time as the sale of the new SUEZ to the Consortium, scheduled for the end of 2021.
