Darrois Villey Maillot Brochier has advised Sodiaal in the context of the global transaction to regain control of the Yoplait group with the exit of General Mills from the European perimeter of the Yoplait and Liberté group. As a result of the transaction, Sodiaal has become the sole owner of the Yoplait brand, sole shareholder of the European perimeter as well as the only manager of the licenses and franchises at a worldwide level. General Mills has on its side acquired the Canadian entities of the group and remains franchisee of the North American perimeter.
The Darrois team was led by Hugo Diener (partner) and composed of Charlotte Ferran and Catherine Ambos for the M&A aspects, Vincent Agulhon (partner) and Pierre Dabin for the tax aspects, Didier Théophile (partner), Olivia Chriqui-Guiot and Thomas Servières for the antitrust law aspects as well as Martin Lebeuf (partner) for financing aspects.
Sodiaal has also been assisted by KPMG Avocats for the entire due diligence and for certain corporate, tax, social and IP aspects of the transaction, and by Ropes and Gray on the US IP law aspects.
