Darrois Villey Maillot Brochier advised Atos on the contemplated sale of Tech Foundations following the internal reorganization of the group

Darrois Villey Maillot Brochier advised Atos SE on the proposed sale of 100% of its Tech Foundations business to the EPEI group, a European industrial holding company controlled by Mr. Daniel Křetínský. Tech Foundations is the group’s historic outsourcing business, employing approximately 52,000 people worldwide.

The contemplated transaction remains subject to certain conditions (including shareholder approval, regulatory approvals and other third-party consents).

As part of this project, Atos S.E. also entered into an investment and governance agreement with EPEI, under which the EPEI group also undertook to subscribe to a reserved capital increase in Atos SE (renamed Eviden SE), giving it 7.5% of the capital, and to subscribe to the subsequent capital increase with preferential subscription rights.
