Darrois Villey Maillot Brochier advised Banijay Group N.V. in the context of its strategic partnership with All3Media alongside RedBird IMI

Banijay Group N.V., one of the world’s leading producers and distributors of audiovisual content, and RedBird IMI have entered into a strategic partnership to combine the businesses of Banijay Entertainment and All3Media, thereby creating a global leader in media and entertainment.

The transaction notably provides for the combination of the businesses of Banijay Entertainment and All3Media within a newly formed entity that will be jointly owned by Banijay Group N.V. and RedBird IMI, each holding a 50% stake, with Banijay Group continuing to consolidate the results of the new company.

Through this transaction, the combined group will bring together two major independent television and content production companies, with complementary content libraries and format portfolios, supported by highly experienced management teams. The combination will enhance the group’s ability to develop, produce and distribute premium content for leading streaming platforms and broadcasters worldwide.

The Darrois Villey Maillot Brochier team was led by partners Christophe Vinsonneau and Cécile de Narp and included Maxime Wach (counsel) and Alexis de Mailly Nesle on corporate and M&A matters, Guillaume Aubron (partner), Flore Bastien and Mathieu Duvacher on antitrust matters, and Guillaume Griffart (counsel) and Karel Lehoucq on public and regulatory matters.

VGG & Associés and Deloitte Société d’Avocats (tax and structuring), BDGS Associés (antitrust law), Kirkland & Ellis LLP (financing), Macfarlanes LLP (UK law) and Stibbe (Dutch law) also advised Banijay Group N.V., while RedBird IMI was advised by Gibson Dunn & Crutcher.
