Darrois Villey Maillot Brochier advised the Ligue de Football Professionnel on the incorporation of its business subsidiary and the minority investment of CVC in its share capital

Paris, July 27, 2022

Darrois Villey Maillot Brochier advised the Ligue de Football Professionnel (“LFP“) in the context of the incorporation of its business subsidiary and the entering into an investment agreement with CVC for a total amount of 1.5 billion euros. In consideration for its investment in this business subsidiary, CVC will ultimately hold approximately 13% of the share capital of this entity. These funds shall be distributed among the sports clubs over three years, of which 40% in 2022, 30% in 2023 and 30% in 2024.

The LFP’s business subsidiary, valued at 11.5 billion euros, will be in charge of developing the revenues generated by the LFP’s activities, while matters related to the organization and regulation of the championships will remain managed by the LFP.

The transaction was completed in July 2022, following the satisfaction of the conditions precedent.

The Darrois Villey Maillot Brochier team was led by François Kopf, Hugo Diener and Orphée Grosjean (partners) and comprised Maxime Wach, Clémence Gendre and Eloy Genest for the corporate and M&A aspects, Henri Savoie (partner) and Jean-Baptiste Aubert (counsel) for public law, Loic Védie (partner) and Benjamin Briguaud for tax law, Didier Théophile (partner) and Constance Bocket (counsel) for antitrust law, as well as Martin Lebeuf (partner) for financing law.

CVC was advised by Weil Gotshal & Manges and White & Case, together with Mayer Brown on tax law aspects.
