Darrois Villey Maillot Brochier advises JouéClub on the takeover of “La Grande Récré” as part of a judicial sale plan

Paris, 12 June 2023

By judgment of 9 June 2023, the Paris Commercial Court approved the judicial sale of the assets of the Ludendo group, which operates the “La Grande Récré” network of toy shops, to the cooperative company JouéClub.

At the end of this competitive process initiated in conciliation (prepack), JouéClub is taking over 89 directly-operated shops, as well as the entire distribution network through franchisees and commercial partners. This transaction will safeguard a network of 220 shops in France and abroad, and maintain more than 90% of the employees of the “La Grande Récré” shops and head office.

The Darrois Villey Maillot Brochier team was comprised of François Kopf (partner), Colin Marvaud and Martin Lodéon on restructuring aspects, Olivier Huygues Despointes (partner) on corporate/M&A aspects, Guillaume Aubron (partner) and Flore Bastien on competition law aspects, and Martin Lebeuf (partner) and Maxime Garcia on financing.

AJUP (Paul-Henri Audras), AJ2M (Carole Martinez) and Solve (Jonathan El Baze) acted as judicial receivers (administrateurs judiciaires) for the companies of the Ludendo group. The SCP BTSG² (Marc Sénéchal) and the SELAFA MJA (Lucile Jouve) acted as judicial representatives (mandataires judiciaires). The Ludendo group was advised by Mickaël Benmussa.
